Our Journey

Financing Your Business Future

Well-structured financing creates leverage, confidence, and deal certainty, reducing risk and moving you through a successful sale. Our complimentary guide provides valuable insights to help you navigate financing your new business.

Strategy, Confidentiality, and Clear Next Steps

As a Certified Exit Planning Advisor (CEPA) and licensed business real estate sales agent, Brian Roeder with his colleagues, combines financial insight, valuation awareness, and transaction experience to help you identify the right opportunity — and guide you through every step from inquiry to acquisition.

A Buyer-First Process Designed to Reduce Risk

Below is our step-by-step process. It’s structured, confidential, and focused on helping you buy the right business—at the right terms.

Confidential Inquiry & Access

Once you express interest in a business, we provide a straightforward Confidentiality & Non-Disclosure Agreement (NDA) to protect all parties. After it’s signed, you receive access to detailed business information not available to the public.

Curated Opportunity Briefing

We don’t just send you listings—we help you understand them. You receive a curated overview of opportunities that fit your goals, including financial highlights, value drivers, and market context.

In-Depth Review of Business Records

Before you make any commitment, we walk through the full information package for the businesses you’re serious about. This may include:

  • Financial statements and tax returns
  • Leases and lease terms
  • Asset lists and equipment details
  • Operational metrics
  • Industry insights and competitive factors
Site Visits & Direct Seller Access
Next, we schedule an in-person tour so you can evaluate the business operationally and strategically. If you’d like, we can also arrange a confidential conversation with the owner so you can ask the questions that matter most.
Buyer-Focused Offer Strategy

Your offer should minimize risk and maximize clarity. We help you craft a professionally structured offer that can include key buyer protections such as:

  • Financial due diligence
  • Lease assignment or renegotiation
  • Financing approval
  • Staffing continuity considerations
  • Equipment and asset inspections
  • Licensing and license transfers (if applicable)
  • Trademarks, brand assets, and client lists
Negotiation & Presentation
Your offer package typically includes an earnest money deposit and a short business résumé for the seller. We can manage the negotiation process—advocating for your price, terms, and conditions while keeping the deal moving forward.
Due Diligence Support
Once your offer is accepted, due diligence begins. This is where the CEPA advantage adds real value: we help you evaluate the business’s financial reality, operational health, and long-term viability so you can make an informed decision.
Lease Approval, Escrow & Final Steps

After due diligence and landlord approval, contingencies are removed. Escrow then manages key requirements, which may include:

  • UCC & Bulk sale requirements
  • Fictitious business name filings
  • Tax clearances

We coordinate closely with escrow, the seller, and your advisors to keep everything organized and on schedule.

Closing & Transition

Once final documents are signed and funds are deposited, you receive the keys and take ownership of your new business. And we remain available to support your transition—even after closing.

Buy the Right Business — Not Just Any Business

My goal is to help you buy the right business—not just any business.
